Chief Legal Officer:

As a key member of the Executive leadership team the Chief Legal Officer will lead all corporate legal and compliance matters at CAVA.   As the head of our legal strategy, you will anticipate and mitigate legal, regulatory, and business risks to protect CAVA’s reputation and interest.  With sophisticated legal judgment you will provide counsel to the board of directors, the executive leadership team, senior management, and external stakeholders to drive both legal and business strategy.  

 

What You’ll Do:

  • Provide strategic direction to the organization establishing procedures that protect the company on all legal matters including but not limited to litigation, contracts, real estate, employment law, SEC regulations, board management, risk, and liability, and compliance.
  • Lead, develop and mentor a high-performing legal team including an Associate General Counsel and an Assistant General Counsel, Risk Manager and Legal Manager.

  • Partner with the Executive team and Board of Directors by advising the Audit Committee on all matters of risk and compliance and act as the voice of the organization for all matters of compliance.

·       Act as the company’s legal expert and behave has a steward of compliance and ethics for the company, utilizing knowledge in all legal disciplines to provide internal clients with timely counsel to protect & advance the interests of the company. 

  • Advise the Compensation Committee on all matters of compliance in Executive Compensation as it relates to governance, tax administration and reporting.
  • Act as Secretary for the Board of Directors and related Committees to include but not limited to the Compensation Committee, Audit Committee and Governance Committee.
  • Document and record all necessary meeting minutes and file all necessary reports as a matter of good governance for a privately held company and move to public company requirements as necessary.
  • Stay abreast of all new legal developments around state, federal, and local regulations, assets as applicable to the company’s business, privacy laws, data protection, technology, and intellectual property interest. 
  • Provide strategic direction on employment-related initiatives, complex wage and hour issues, and other employment matters.
  • Respond to reported complaints involving ethics concerns and violations of law, conducting internal investigations as needed in conjunction with the Chief People Officer.
  • Oversee all aspects of the employment litigation defense process, including assessing risks, developing strategy, partnering with outside counsel, reviewing and editing draft pleadings, preparing and participating in depositions and mediations, and ensuring compliance with e-discovery requirements.
  • Negotiate, draft, and review complex transactional agreements and advise on enterprise-wide contracts, including technology, supply chain, commercial real estate, marketing, public relations, human resources, food quality and safety, finance, and accounting.
  • Oversee and optimize all aspects of the company’s risk management program including workers compensation, general liability, property liability and D&O.
  • Lead and participate in various administrative matters, such as planning, budgeting, managing outside counsel relationships, costs, and strategy for the legal department.
  • Manage a portfolio of trademarks, including supervising the licensing, renewal and permitting process.

 

The Qualifications:

  • Twenty (20) years of experience in employment litigation, contract negotiations, real estate lease negotiations, state administrative charges, discovery, e-discovery, pre-litigation, mediation and the settlement, and related legal counseling of employers.
  • Experience handling complex employment litigation cases covering a variety of legal claims as lead counsel or second chair role on complex employment litigation cases
  • Experience serving in a lead role in responding to discovery requests, handling e-discovery issues, taking depositions, attending, and representing clients at hearings.
  • Demonstrated excellence in complex transactional legal work
  • Proven expertise with privacy, data protection, and advertising rules and regulations
  • Juris Doctorate from accredited University
  • Ability to serve leadership and supporting roles in cross-functional projects on cross-functional teams.
  • Strong communication skills with the ability to interact effectively across all levels of the business
  • Strong writing and editing skills.
  • Ability to identify, assess, and manage risks.
  • Ability to be flexible and work on a wide range of matters.

 

Physical Requirements:

  • Ability to maintain stationary position to be able to operate a computer and other office equipment
  • Must be able to identify, analyze and assess details
  • For certain positions, must be able to occasionally move or transport items up to 50 pounds
  • Ability to communicate with others and exchange information accurately and effectively
  • Constantly positions self and move about to support ordinary restaurant or food production support or office operations, as applicable
  • Ability to work in a constant state of alertness and in a safe manner
